What We Provide

* Cloud and infrastructure services

* Website design and development
* Technical support and advisory services
Payments and Billing
* Fees are outlined in estimates, proposals, invoices, or service agreements.
* Payment is due according to the terms provided on your invoice or agreement.
* Certain projects may require a deposit before work begins.
* Services may be suspended for overdue accounts.
Hosting Services
* We work hard to maintain reliable hosting services but cannot guarantee uninterrupted availability.
* Scheduled maintenance, software updates, Internet outages, cyberattacks, and third-party provider issues may occasionally affect service availability.
* Clients are encouraged to maintain their own backups in addition to any backups we provide.
Consulting Services
* Our recommendations are based on professional expertise and industry best practices.
* Because every business environment is different, we cannot guarantee specific business, financial, security, or operational outcomes.
Design and Creative Services
* Design concepts, drafts, and source materials remain the property of Gajdek360 LLC until payment is received in full.
* Final approved deliverables become the Client's property upon full payment unless otherwise specified in writing.
* We may showcase completed work in our portfolio unless a separate confidentiality agreement restricts us from doing so.
Client Responsibilities
Clients are responsible for:
* Providing accurate information
* Responding to requests in a timely manner
* Reviewing deliverables and approvals promptly
* Maintaining proper backups and software licensing
* Using services in a lawful and responsible manner
Security and Data Protection
* No technology system can be guaranteed completely secure.
* While we may provide security-related services and recommendations, Clients remain responsible for implementing and maintaining appropriate security controls within their organization.
Limitation of Liability
* We are not responsible for indirect, incidental, special, or consequential damages.
* Our maximum liability is limited to the amount paid for the services that gave rise to the claim, subject to the limitations described in these Terms.
Service Suspension or Termination
We may suspend or terminate services if:
* Invoices remain unpaid
* Services are used unlawfully
* Activities create security risks
* The Terms of Service are materially violated
Third-Party Services
Many solutions rely on third-party providers such as hosting companies, cloud vendors, domain registrars, software vendors, and payment processors. We are not responsible for outages, service interruptions, pricing changes, or policy changes made by those providers.

Introduction
This Master Terms of Service Agreement ("Agreement") governs all products and services provided by **Gajdek360 LLC** ("Company," "Consultant," "Provider," "we," "our," or "us") to the client, customer, organization, or individual ("Client," "you," or "your").
By engaging Gajdek360 LLC for any service, making payment, signing a proposal, estimate, statement of work, subscription agreement, maintenance agreement, or otherwise utilizing our services, you agree to be bound by these Terms.
Scope of Services
Gajdek360 LLC provides professional services including, but not limited to:
Technology & Consulting Services
* Cybersecurity consulting
* IT consulting
* Managed IT services
* Infrastructure design
* Cloud services
* Website maintenance
* Technical support
* Digital transformation services
* Strategic planning
* Training and advisory services
Hosting Services
* Website hosting
* WordPress hosting
* Cloud hosting
* Domain management
* DNS management
* Email hosting coordination
* Backup and disaster recovery services
* Monitoring and maintenance services
Design & Creative Services
* Graphic design
* Branding
* Logo design
* Website design
* Marketing materials
* Print design
* Social media graphics
* Digital media production
* Custom artwork and illustrations
Additional services may be provided under separate proposals, statements of work, maintenance agreements, or service estimates.
Estimates, Proposals, and Statements of Work
Any proposal, estimate, quotation, service agreement, maintenance agreement, or statement of work issued by Gajdek360 LLC shall be incorporated into and governed by these Terms.
In the event of a conflict between these Terms and a signed Statement of Work, the signed Statement of Work shall govern only for the affected project.
Fees & Payment
Client agrees to pay all fees outlined in the applicable proposal, estimate, invoice, subscription agreement, maintenance agreement, or statement of work.
Unless otherwise specified:
* Invoices are due within fifteen (15) days.
* Recurring services are billed in advance.
* Project services may require deposits before work begins.
* Deposits are non-refundable once work has commenced.
* Late payments may incur a 1.5% monthly finance charge (18% annually) or the maximum allowed by law.
* Services may be suspended for non-payment.
Client remains responsible for all collection costs, attorney fees, and recovery expenses associated with overdue balances.
Hosting Services
For hosting-related services:
Service Availability
While Gajdek360 LLC strives to maintain reliable service availability, no guarantee is made that hosting services will be uninterrupted or error-free.
Scheduled maintenance, emergency maintenance, upstream provider outages, Internet failures, cyberattacks, software defects, force majeure events, and circumstances beyond our control may impact service availability.
Acceptable Use
Client agrees not to use hosting services for:
* Illegal activities
* Malware distribution
* Phishing
* Spam
* Copyright infringement
* Unauthorized network access
* Cryptocurrency mining
* Excessive resource consumption
* Activities that violate applicable laws
We reserve the right to suspend or terminate services that threaten system integrity, security, or operational stability.
Backups
Unless specifically stated in writing:
* Backups are provided as a convenience.
* Client remains solely responsible for maintaining independent backups.
* Restoration success cannot be guaranteed.
Domain Names and Third-Party Services
Many services rely on third-party providers including:
* Domain registrars
* Hosting providers
* Cloud providers
* Software vendors
* Payment processors
* CDN providers
* Security vendors
Gajdek360 LLC is not responsible for outages, policy changes, service disruptions, pricing changes, account suspensions, or failures caused by third-party providers.
Unless agreed otherwise, any fees imposed by third-party providers remain the responsibility of the Client.
Consulting Services
Consulting services are provided based on professional expertise, industry standards, and information reasonably available at the time services are rendered.
Gajdek360 LLC does not guarantee:
* Specific business outcomes
* Security outcomes
* Regulatory approvals
* Revenue increases
* Search engine rankings
* Technology performance
* Prevention of cyber incidents
Recommendations are advisory in nature and implementation decisions remain the responsibility of the Client.
Graphic Design and Creative Services
Ownership Prior to Final Payment
All concepts, drafts, mockups, proofs, source files, artwork, and design materials remain the property of Gajdek360 LLC until payment is received in full.
Ownership After Final Payment
Upon full payment, Client receives ownership rights to the final approved deliverables specifically identified within the project scope.
Unless otherwise stated in writing, Gajdek360 LLC retains ownership of:
* Preliminary concepts
* Unused designs
* Production files
* Internal workflows
* Proprietary templates
* Design methodologies
Portfolio Rights
Gajdek360 LLC may display completed work within:
* Portfolios
* Marketing materials
* Social media
* Presentations
* Promotional materials
Unless otherwise agreed in writing.
Intellectual Property
Each party retains ownership of its pre-existing intellectual property.
Client warrants that any materials supplied to Gajdek360 LLC:
* Are legally owned by Client; or
* Properly licensed for use.
Client agrees to indemnify Gajdek360 LLC from claims arising from unauthorized use of supplied content.
Client Responsibilities
Client agrees to:
* Provide accurate information
* Respond to requests in a timely manner
* Provide necessary approvals
* Maintain appropriate backups
* Maintain valid software licenses
* Review deliverables promptly
* Cooperate throughout project execution
Delays caused by Client may extend project timelines.
Security and Cybersecurity
While Gajdek360 LLC may provide security-related services, no system can be guaranteed completely secure.
Client acknowledges:
* Cybersecurity risks continuously evolve.
* New vulnerabilities emerge regularly.
* No technology solution eliminates all risk.
The Client remains responsible for implementing appropriate security controls, policies, procedures, and user training.
Confidentiality
Both parties agree to maintain confidentiality regarding non-public information obtained during the course of service delivery.
Confidential information shall not include information that:
* Is publicly available;
* Was already known;
* Is independently developed;
* Is required to be disclosed by law.
Confidentiality obligations survive termination of services.
Limitation of Liability
To the fullest extent permitted by law:
Gajdek360 LLC shall not be liable for:
* Lost profits
* Lost revenue
* Loss of business opportunities
* Data loss
* Business interruption
* Consequential damages
* Incidental damages
* Special damages
* Indirect damages
The total cumulative liability of Gajdek360 LLC shall not exceed the amount paid by Client for the specific service giving rise to the claim during the twelve (12) months preceding the claim.
Indemnification
Client agrees to defend, indemnify, and hold harmless Gajdek360 LLC, its owners, employees, contractors, and affiliates from any claims, damages, liabilities, costs, and expenses arising from:
* Client content
* Client actions
* Violation of laws
* Intellectual property claims
* Misuse of services
* Third-party claims related to Client activities
Warranty Disclaimer
All services are provided:
**"AS IS"** and **"AS AVAILABLE."**
Gajdek360 LLC disclaims all warranties, including:
* Merchantability
* Fitness for a particular purpose
* Non-infringement
* Availability
* Accuracy
* Reliability
No oral or written information shall create any warranty not expressly stated herein.
Termination
Either party may terminate services upon written notice.
Gajdek360 LLC may immediately suspend or terminate services for:
* Non-payment
* Abuse of services
* Illegal activity
* Security threats
* Material breach of these Terms
Termination does not relieve Client of payment obligations incurred prior to termination.
Independent Contractor
Gajdek360 LLC operates as an independent contractor.Nothing in this agreement creates a partnership, joint venture, or employment relationship.
Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including:
* Natural disasters
* Severe weather
* Cyberattacks
* Internet outages
* Utility failures
* Government actions
* Labor disputes
* Pandemics
* Acts of war
Governing Law
This Agreement shall be governed by the laws of the State of Ohio, without regard to conflict of law principles.
Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Ohio.
Severability
If any provision of this Agreement is deemed unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement
This Agreement, together with any applicable proposal, estimate, statement of work, maintenance agreement, subscription agreement, or invoice, constitutes the entire agreement between the parties.
No oral representations shall modify these Terms.
By purchasing, subscribing to, or utilizing any service provided by Gajdek360 LLC, the Client acknowledges that they have read, understood, and agreed to these Master Terms of Service.
